¶ 4. Systemleet OÜ
To support the development of the DAO, a "Private Limited Company", Systemleet OÜ, has been created. This company is legally responsible for all activities of the DAO.
¶ 4.1 The mandates of the OÜ
"Systemleet OÜ is the exclusive contractor for the DAO. This company can be seen as a service provider working on behalf of the DAO. Here are its main responsibilities.
¶ 4.1.1 Evaluation of motions
Systemleet OÜ is responsible for evaluating the motions submitted by the DAO within the limitations defined in Chap. 2.9 Limitation of decisions. Additionally, a legal, financial, and technical evaluation will be conducted to ensure the feasibility of the motion.
¶ 4.1.1.1 Legal evaluation
If necessary, the motion will be assessed by a legal expert in the relevant field. Depending on the nature of the motion, it may be necessary to obtain a legal assessment in a specialized area, such as labor laws or intellectual property laws.
¶ 4.1.1.2 Technical evaluation
If necessary, the motion will undergo a technical evaluation. This involves two steps:
- Determine if the motion is technically feasible.
- Identify any resources that may be needed to implement the motion (such as software licenses or the hiring of developers).
If the motion is not technically feasible, Systemleet OÜ will propose alternative options.
¶ 4.1.1.3 Financial evaluation
All changes come with a cost. The purpose of this evaluation is to determine this cost and assess its feasibility based on the available funds.
This evaluation include the two following steps:
- Determine the cost of the necessary resources.
- Check if there are sufficient funds available in the corresponding pool.
If the funds are insufficient, the OÜ will propose less expensive alternatives.

¶ 4.1.2 Implementation of the motions
Systemleet OÜ is committed to implementing strictly, according to the framework defined by the DAO, the projects that have been voted on by it.

¶ 4.1.3 Project management
Systemleet OÜ is committed to managing and supporting all projects of the ecosystem. It is responsible for the following:
- Hire the necessary resources for the creation of the project
- Project management and development
- Project release
- Technical infrastructure
- Customer support
- Continuous development (bugs fix, security update, optimisation, new features)
¶ 4.1.4 Project marketing
Systemleet OÜ is committed to implementing the decisions of the DAO related to promoting the DAO and its products. This can include organizing contests, purchasing advertising, etc.
¶ 4.1.5 Development of the DAO ecosystem
Systemleet OÜ is committed to developing the DAO ecosystem in order to make it more attractive. This includes establishing partnerships that will benefit the DAO and its members.
¶ 4.1.6 Support the operation of the DAO
Systemleet OÜ is responsible for developing and maintaining all applications necessary for the proper functioning of the DAO.
¶ 4.1.7 Physical representation of the DAO
Systemleet OÜ is committed to providing a physical representation of the DAO.
¶ 4.2 Legal status
Systemleet OÜ is a Private Limited Company according to the Estonian “Commercial Code".
¶ 4.3 Relationship between the DAO and the OÜ
Systemleet OÜ acts as the executive body of the DAO. Therefore, it can be seen by its members as the "property" of the DAO.
From a legal perspective, however, the OÜ is responsible for the decisions it executes and therefore has the right to control and veto the decisions of the DAO, as outlined in Chap. 4.1.1 Evaluation of motions. The OÜ is also responsible for the accounts of the DAO and therefore holds "the keys of its vaults".
The dual position of the OÜ is primarily designed to offer a legal status to the DAO and prevent any form of abuse, while still giving as many rights as possible to the DAO. To formalize these arrangements, a contract outlining the rights and responsibilities of the OÜ and the DAO has been created. This contract is available in Appendix I - Agreement between System-1337 and Systemleet OÜ.
